“Contract” means the agreement between the Company and the Customer for the supply of Goods and/or Services.
2. Website Use
You agree to use this website only for lawful purposes and in a way that does not infringe the rights of others or restrict their use of the website.
We reserve the right to modify, suspend, or withdraw this website or any part of it without notice.
We do not guarantee uninterrupted access or that the website will always be available, secure, or free from errors or viruses.
3. Intellectual Property
All content on this website, including text, designs, drawings, photographs, graphics, logos, and downloadable files, is the property of Bespoke Industrial Ltd unless otherwise stated.
No content may be copied, reproduced, distributed, stored, or used for commercial purposes without our prior written consent.
All intellectual property rights in bespoke drawings, concepts, manufacturing plans, and design documents produced by us remain our property unless otherwise agreed in writing.
4. Quotations and Orders
All quotations are valid for 30 days unless otherwise stated in writing.
A quotation does not constitute a binding offer. A Contract is formed only when we confirm acceptance of your order in writing and, where applicable, receive any required deposit.
We reserve the right to refuse or cancel orders at our discretion prior to acceptance.
5. Pricing
All prices are stated in Pounds Sterling (£).
Unless otherwise stated, prices exclude:

Installation charges

Site-specific requirements

Additional design revisions
We reserve the right to amend prices before order acceptance if costs increase due to raw materials, labour, supplier costs, or specification changes.
6. Payment Terms
Trade Customers
Payments may be made by:

Bank transfer

Approved credit account
Credit accounts are granted solely at our discretion.
Unless otherwise agreed in writing, payment terms for trade accounts are 30 days from invoice date.
Failure to pay may result in us:

Suspending production
-
Withholding deliveries
-
Cancelling quotations or pending orders

Reducing or removing credit facilities
Consumer Customers
For consumers, payment must be made in full in advance, unless otherwise agreed in writing.
Payment is only deemed received once cleared funds are in our account.
7. Deposits
We may require a non-refundable deposit before commencing design, procurement, fabrication, or manufacture.
Deposits secure production slots, materials, and labour allocation.
Unless otherwise agreed in writing, deposits are non-refundable once work has commenced or materials have been ordered.
8. Bespoke and Made-to-Order Products
Many of our products are custom-made to customer specifications.
Because bespoke items are manufactured specifically for the Customer, orders for bespoke or made-to-order Goods cannot usually be cancelled, returned, or refunded once production has begun, except where required by law or where Goods are faulty.
Customers are responsible for ensuring all dimensions, specifications, finishes, and approvals are accurate before production begins.
Any customer-requested design changes after approval may incur additional charges and lead-time extensions.
9. Delivery and Lead Times
Any lead times provided are estimates only.
We are not liable for delays caused by:

Supplier shortages

Material availability
-
Courier delays
-
Force majeure events
-
Customer delays or specification changes
Risk in Goods passes to the Customer upon delivery or collection.
Ownership of Goods remains with us until full payment has been received.
10. Installation
Where installation services are provided, the Customer must ensure safe and suitable site access.
Delays caused by incomplete site preparation may incur additional labour or rescheduling charges.
We are not liable for delays or costs caused by restricted access, structural defects, or third-party contractor delays.
11. Returns, Faults and Warranty
Non-bespoke Goods may be eligible for return subject to inspection and approval.
Bespoke or custom-made Goods are non-returnable unless:

Faulty

Not as described
-
Not fit for purpose under applicable law
Customers must inspect Goods upon delivery and notify us of visible damage or defects within 48 hours.
Manufacturing tolerances, natural material variation, and finish variation do not automatically constitute defects.
Where a valid defect exists, we may choose to:

Repair

Replace
-
Refund (in whole or part)
12. Late Payment
If payment is overdue, we reserve the right to charge interest at 4% per annum above the HSBC Bank plc base rate, calculated daily until payment is made in full.
We may also recover reasonable debt recovery costs, legal fees, and administrative charges incurred in collecting overdue sums.
13. Limitation of Liability
To the fullest extent permitted by law, Bespoke Industrial Ltd excludes liability for indirect, incidental, or consequential loss, including loss of profits, business interruption, or loss of opportunity.
Nothing in these Terms excludes liability for:

Death or personal injury caused by negligence

Fraud or fraudulent misrepresentation

Any liability which cannot legally be excluded
Our total liability under any Contract shall not exceed the total amount paid by the Customer for the relevant Goods or Services.

15. Force Majeure
We are not liable for failure or delay caused by events beyond our reasonable control, including but not limited to:
